In this instrument, we understand the expressions below according to the following definitions:

ECOTRACE: ECOTRACE TECNOLOGIA DA INFORMACAO LTDA., a limited company, registered with the CNPJ under no. 29.424.947/0001-01, with address at Rua Celia Polo Monteiro, nº 250, sala 03, Bairro Marambaia, Vinhedo/SP, CEP: 13287-004,

PLATFORM: a system consisting of a web application, offered by ECOTRACE and owned, operated and responsible for by ECOTRACE, where the USER can view and use the services offered by ECOTRACE.

USER: natural or legal person registered on the PLATFORM, who accesses and/or uses the services offered by the PLATFORM, offered by ECOTRACE.

DATA PROCESSING: Any operation carried out by ECOTRACE with the USER 's personal data, such as those relating to its collection, production, reception, classification, use, access, reproduction, transmission, distribution, processing, archiving, storage, elimination, evaluation or control of the information, modification, communication, transfer, dissemination or extraction.

This instrument regulates the conditions of adhesion for the use of PLATFORM services , and is a contract between USERS and ECOTRACE. The use of our services expressly indicates that you agree to all the terms and conditions contained in this instrument and the legal provisions applicable to the species.

YOU UNDERSTAND AND AGREE THAT ECOTRACE WILL CONSIDER YOUR USE OF THE SERVICES PROVIDED ON THE PLATFORM AS ACCEPTANCE OF THESE TERMS OF USE AND SERVICES AND ALL OTHER RELEVANT LEGAL PROVISIONS.

BY ACCEPTING THE TERMS OF THIS INSTRUMENT, THE USER EXPRESSLY AUTHORIZES THE PROCESSING OF HIS/HER DATA BY ECOTRACE FOR THE MAINTENANCE AND PROPER PERFORMANCE OF THE PLATFORM'S FUNCTIONALITIES.

THE USER HEREBY EXPRESSES HIS FULL CONSENT TO THE SHARING OF THE DATA COLLECTED AND PROCESSED BY ECOTRACE, UNDER THE TERMS OF THIS INSTRUMENT, WITH OTHER COMPANIES THAT ARE PART OF ITS ECONOMIC GROUP, OR ARE ITS SERVICE PROVIDERS.

If you DO NOT AGREE with the terms set forth herein, do not access, view, download or use in any way any ECOTRACE page, content, information or service.

ECOTRACE is a private company with the aim of making the traceability of commodities secure and transparent for the market, assisting in the processes between all the links in the production chain, from the origin to the end consumer, using a set of technological solutions, such as: Machine Learning, IoT, Big Data and Data Science, thus creating a traceability system that is unique for its trust and transparency in data through Blockchain technology.

In addition, it provides an online PLATFORM, in which the USER can register and monitor various pieces of information that help to ensure the consistency of reliable and inviolable data throughout the entire supply chain journey for which the producer is responsible.

ECOTRACE hereby provides a PLATFORM to help USERS control and manage their data and information relating to their link in the supply chain to which they belong. Thus, ECOTRACE 's responsibility is restricted solely to the correct operation of the PLATFORM and its functionalities, as stipulated herein, and ECOTRACE is not responsible for the control and veracity of the information registered in the PLATFORM.

ECOTRACE has no relationship with registered USERS, and ECOTRACE cannot be held liable for any damages caused to other USERS or third parties, due to acts originating from USERS while using the features available on the PLATFORM.

At the time of registration, USERS may use all the services available on the PLATFORM, stating that they have read, understood and accepted all the provisions contained in these Terms of Use and Services.

The USER undertakes to use the PLATFORM 's functionalities in good faith, in accordance with morality and good customs.

ECOTRACE MAY, AT ITS SOLE AND EXCLUSIVE DISCRETION, MAKE ACCESS TO CERTAIN FEATURES OF THE PLATFORM CONDITIONAL ON PAYMENT OF PLANS. THE USER UNDERSTANDS THAT ECOTRACE, BY SENDING PRIOR NOTICE TO THE E-MAIL ADDRESS REGISTERED ON THE PLATFORM, MAY START CHARGING FEES FOR THE USE OF THE RESOURCES AVAILABLE ON THE PLATFORM.

The USER expressly acknowledges that the intellectual property rights over the ECOTRACE PLATFORM are not the subject of this term and are the exclusive property of ECOTRACE, and the assignment of the rights of use to third parties outside the scope of this term is prohibited without the prior express consent of ECOTRACE.

The USER is solely responsible for the security of their password and the use of their account, so we recommend that they do not share this information with third parties and, if this information is lost or hacked for any reason, the USER must inform ECOTRACE immediately so that the appropriate measures can be taken.

It is the sole responsibility of USERS to be liable for any damage caused to third parties, other USERS, the PLATFORM or ECOTRACE itself, arising from the use of the PLATFORM's functionalities .

USERS must not use the services available on the PLATFORM for any illegal, defamatory, discriminatory, abusive, offensive, pornographic, obscene, aggressive, insulting, vexatious, misleading, slanderous, violent, vulgar, harassing, threatening or using a false identity, or in any other way that could harm ECOTRACE, other USERS or third parties.

Under no circumstances shall ECOTRACE be held liable for any damages incurred by USERS as a result of any unavailability of the PLATFORM. The availability of any and all PLATFORM services and features shall be restricted to the availability of the PLATFORM itself , and ECOTRACE shall not be held liable for any damages caused to USERS by the unavailability of the PLATFORM.

The services offered by PLATFORM are available to absolutely capable individuals and legal entities duly registered with the CNPJ.

In order for USERS to register on the PLATFORM, they will provide ECOTRACE with the following data: (i) Individual: Name, CPF, Email and Contact telephone number; or, (ii) Legal entity: Company name, registered office, CNPJ number, Email and Contact telephone number.

The purpose of collecting USER data is to identify the USER and enable the USER to use the PLATFORM correctly, thereby enabling ECOTRACE to ensure the good quality of the contracted services.

By consenting to the terms of this instrument, the USER expressly declares that he/she is aware that the collection of his/her data is essential for the proper functioning of the PLATFORM.

The creation of more than one registration per USER on the PLATFORM is expressly forbidden. In the event of multiple registrations by a single USER, ECOTRACE reserves the right, at its sole discretion, without compensation and without the need for prior consent or communication, to disable all existing registrations in the name of this USER, and may not accept new registrations from said USER on the PLATFORM.

For regular use of the PLATFORM, the USER must register, filling in all the data requested by the PLATFORM at the time of registration.

It is the sole responsibility of USERS to provide, update and guarantee the veracity of their registration data, and ECOTRACE shall not be held liable for any civil or criminal liability resulting from untrue, incorrect or incomplete data provided by USERS.

ECOTRACE reserves the right to use all valid and possible means to identify its USERS, as well as to request additional data and documents it deems pertinent in order to verify the data provided. In this case, the USER 's use of the PLATFORM is conditional on sending any documents requested.

If a registration is found to contain erroneous or untruthful data, ECOTRACE reserves the right to suspend, temporarily or permanently, without prior notice, the USER responsible for the registration. In the event of suspension, USERS shall not be entitled to any type of indemnity or compensation for losses or damages, loss of profits or moral damages.

The USER will access his/her account on the PLATFORM by means of a login and password, and undertakes not to inform third parties of this data, taking full responsibility for any use made of it.

The USER undertakes to notify ECOTRACE immediately, through the contact channels maintained by ECOTRACE on the PLATFORM, of any unauthorized use of his/her account. The USER will be solely responsible for the operations carried out on their account, since access will only be possible through the use of a password of which they are exclusively aware.

Under no circumstances will the assignment, sale, rental or other form of transfer of the USER's account be permitted.

At its sole discretion, ECOTRACE may exclude, disable, create limits on the use of the service, suspend, block, for an indefinite period of time, without prior notice or compensation, registrations of USERS that are considered offensive, that violate the terms of this instrument or the legislation in force.

ECOTRACE reserves the right not to allow new registrations from USERS who have already been canceled, disabled, blocked, excluded or suspended from the PLATFORM. New registrations will also not be allowed from people whose original registrations have been canceled, blocked, disabled, excluded or suspended for violations of ECOTRACE 's policies or current legislation.

ECOTRACE reserves the right to unilaterally, without prior notice, consent or compensation, refuse any registration request from a USER on the PLATFORM, as well as cancel, disable, block, delete or suspend the use of a previously accepted registration.

The PLATFORM offers USERS the option of including, editing and filtering their information:

a. Finishes;
b. Categories;
c. Types of Conformation;
d. Destinations;
e. Installation sites;
f. Maturities;
g. Markets;
h. Breeds;
i. Types of Trading;
j. Types of Production.
k. Commercial trading data

As for the levels of access for USERS, they will be divided into:

(i) The USER-ADMINISTRATOR;
(ii) the USER-CONSULTANT.

Thus, the access permissions for each USER profile can be edited according to the PLATFORM's functionality.

USERS are allowed to include data and information about their properties, where the supply chain for which the producer is responsible takes place. In this way, they will be able to fill in different information about the property, such as: identification in bodies (registers and registrations), details of the individual or legal entity that operates the property, form of operation (agriculture and/or livestock), location and geolocation coordinates.

In addition, it is possible to enter data on the industries with which it does business, thus forming part of the supply chain of which it is a part.

Finally, the "Romaneio" is also available for the USER to use, i.e. detailed reports on the negotiations already carried out with the Industries. This allows the USER to check statistics, quantitative and qualitative data, download files with complete information on the respective operation selected with the Industry, as well as check and download images of animal carcasses that are part of their supply chain.

In order to offer the Romaneio (reports) service, the USER must fill in the requested data about the property operator, otherwise the functionality may not be offered by ECOTRACE.

By providing any and all images to the PLATFORM, the USER understands and accepts that ECOTRACE may use them to improve and enhance its technology.

ECOTRACE may at any time, without the need for prior notice or compensation, edit and/or delete existing functionalities, as well as add new functionalities to the PLATFORM.

ECOTRACE will provide support to PLATFORM USERS by sending a message to the e-mail address suporte@ecotrace.info. In support requests via e-mail, ECOTRACE undertakes to respond to messages in accordance with the SLA (Service Level Agreement) agreed between the parties. ECOTRACE 's response and delivery times may vary depending on the complexity of the specific case.

USERS accept and agree that the information registered on the PLATFORM will be published and/or provided in accordance with the provisions of this instrument.

USERS accept and agree that:

• The data collected and processed by ECOTRACE through the PLATFORM will be stored on the servers of a subcontractor, whose headquarters may be outside the country.
• The storage and processing of data by ECOTRACE will continue for as long as the USER remains registered on the PLATFORM. If the USER unsubscribes from the PLATFORM, he/she may revoke consent for ECOTRACE to process his/her data. Otherwise, this consent will be considered to be for an indefinite period.
• Any information provided is stored in a database controlled by ECOTRACE.
• The servers are owned and managed by service providers contracted by ECOTRACE.

The PLATFORM is the property of ECOTRACE, and the USER may use it in accordance with these Terms of Use, but the source code, brand, technical, design, process, reporting and other elements that help us characterize the PLATFORM are the property of ECOTRACE and must not be used by the USER in any way that is not previously authorized in writing by ECOTRACE.

ECOTRACE may use the data provided by the USER through the PLATFORM to verify that it is complying with its legal duties, in order to be diligent and ensure the legality of all the characters in the supply chain, which it assists through its technology.

The information collected by ECOTRACE, which the USER provides via the PLATFORM, may be used for benchmarking purposes. In this process, in order to improve its services and functionality, ECOTRACE will compare the data of different USERS. Should any USER prefer that this operation not take place, they should contact us through the channels provided by ECOTRACE.

During the term of this instrument and after its expiry or termination, ECOTRACE undertakes to keep the identity of the USER strictly confidential. That said, all DATA PROCESSING operations carried out will ensure that USERS of the PLATFORM are not identified to third parties.

In addition, in order to guarantee the traceability of products from the supply chain, of which the producer is a part, ECOTRACE will use data provided via the PLATFORM. As well as the origin of the products in the supply chain, data relating to the geolocation of the property will also be processed to ensure the origin of the respective products. In the event of any doubt about the above procedures, the USER should contact ECOTRACE to resolve any queries.

The USER agrees that he/she will not do, attempt to do, or help anyone else to do any kind of reverse engineering or attempt to access the source code and database structure in relation to the PLATFORM. USERS ' comments and suggestions are very welcome and may generate innovations or implementations that can be incorporated into the PLATFORM, but this will not give the USER any kind of right over them. The USER does not and will not have any direct or indirect property, ownership or participation in the PLATFORM or ECOTRACE.

Even when using computer infrastructure managed by third parties, ECOTRACE does not authorize the use of the USER 's information by the service provider.

Although ECOTRACE chooses the world's leading data security service providers, ECOTRACE disclaims liability for any possible hacker attack or failure of security technologies that could lead to this information being exposed.

ECOTRACE protects all the USER 's personal data using technically and economically reasonable standards of care considering current Internet technology. The USER acknowledges that there can be no expectation of total Internet security against website intrusion or other irregular acts.

ECOTRACE reserves the right to provide the USER 's data and information, as well as the entire system used in the PLATFORM, to its technical team, which may be made up of ECOTRACE employees and/or an outsourced company, which will be responsible for managing the security and reliability of the PLATFORM and the USER's data.

All members of the technical team, whether employees or contractors, will sign a confidentiality agreement stating that they undertake to keep all commercial, accounting, administrative, technological, infrastructural and technical information, i.e. any data disclosed to them as a result of maintaining the PLATFORM's operation and security, strictly confidential, any data disclosed to each other as a result of maintaining the operation and security of the PLATFORM, refraining from using it for their own benefit or that of third parties, and undertaking to ensure that their partners, employees and trusted third parties, who are informed of this obligation, also do so.

ECOTRACE is not authorized to provide the data registered by the USER to third parties, except in the manner provided for herein

It is the exclusive competence of the courts and legal bodies of the Brazilian territory to request ECOTRACE to provide the personal data of the USER who demonstrably disrespects the terms and conditions of this instrument and the legal provisions applicable to the species, and ECOTRACE reserves the right to provide the courts and competent legal bodies with the USER 's personal data, when justifiably requested.

All materials, patents, trademarks, registrations, domains, names, privileges, creations, images and all rights related to the PLATFORM and developed by ECOTRACE are and shall remain the sole and exclusive property of ECOTRACE, and USERS agree not to perform any act or fact that in any way prejudices the rights provided for herein, nor to claim any right or privilege over them.

The USER undertakes to keep their registration details up to date, as well as to report any changes, especially their payment details, as well as their e-mail address and telephone number, which will be the main channels of communication between ECOTRACE and the USERS.

ECOTRACE may amend this instrument at any time by publishing a revised version on our website. For this reason, we strongly recommend that you always visit this section of our website and read it periodically. However, in order to contribute to good relations, we will also send you an e-mail informing you of these changes.

This instrument constitutes the entire understanding between the USER and ECOTRACE and is governed by Brazilian Law, the court of the city of São Paulo - SP being elected as the sole competent court to settle issues arising from this instrument, expressly waiving any other jurisdiction, however privileged.
